These Terms & Conditions ("Terms") govern your purchase and use of SEAS and any post-purchase support provided by Smart Agentic Systems. Please read them carefully. By purchasing, downloading, accessing, or using SEAS, or by contacting us for support, you agree to be bound by these Terms. If you do not agree, do not purchase or use SEAS.

1.Agreement to These Terms

These Terms form a binding agreement between you ("you," "your," or the "Customer") and Smart Agentic Systems ("Smart Agentic Systems," "we," "us," or "our") regarding the SEAS — Strategic EBITDA Acceleration System product suite and all related materials, files, and documents ("SEAS" or the "Materials"), offered through smartagenticsystems.com (the "Site"). If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

2.The Product and Your Licence

SEAS is a digital product suite delivered as a one-time download — including playbooks, financial models, agent prompt libraries, templates, runbooks, and related files. Subject to your compliance with these Terms and payment in full, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use SEAS for your own internal business purposes, and for those of your organisation, clients, or portfolio companies to the extent permitted by the licence you purchased.

The Materials are licensed, not sold. The copy you download is yours to keep, but all intellectual-property rights in SEAS remain with Smart Agentic Systems. Except as expressly permitted by your licence, you may not resell, redistribute, republish, sublicense, publicly share, or otherwise make SEAS available to any third party.

3.Payment and Delivery

The price for SEAS is displayed on the Site at the time of purchase and is a one-time payment unless otherwise stated. Payments are processed by our third-party payment provider, Polar, which may act as merchant of record for your transaction; your purchase is therefore also subject to Polar's applicable terms. Applicable taxes may be added at checkout. SEAS is delivered electronically, with access provided promptly after successful payment. You are responsible for providing accurate purchase and contact details and for downloading and retaining your copy of the Materials.

4.Refund Policy

We offer a 90-day money-back guarantee. If you are not satisfied, you may request a full refund within ninety (90) calendar days of purchase by emailing [email protected]; no detailed justification is required. Refunds are processed through Polar to your original payment method. Upon issuance of a refund, your licence terminates immediately, and you must cease all use of, and delete all copies of, the Materials. In rare cases of evident abuse or fraud, we may decline a refund.

Portfolio (multi-licence) purchases. Portfolio licences for private equity firms and institutional buyers are issued at preferential per-licence pricing (a minimum of three licences) and, consistent with standard enterprise-licensing practice, are non-refundable except for one licence within the 90-day window. All other terms of this Refund Policy continue to apply.

6.No Professional Advice

SEAS and the Materials are provided for general informational and educational purposes only. They do not constitute professional, financial, accounting, tax, legal, investment, or management-consulting advice, and are not tailored to your specific circumstances. Any figures, models, benchmarks, ranges, or examples contained in the Materials — including any reference-company or worked-case figures — are illustrative of methodology only and are not predictions, guarantees, or representations of results you will achieve. You should obtain advice from your own qualified professionals before making business, financial, or legal decisions.

Any diagnostic, report, scan, or assessment that we provide or that is generated through the Site — including the ARED (Automated Rapid EBITDA Diagnostics), DVDAI (Detailed Validated Diagnostics using AI), and DIRAI (Diagnostics and Implementation Roadmap using AI) services — may be produced with the assistance of AI tools, is provided as a suggestion and benchmark-based estimate only, and carries no guarantee of any outcome, recovery, saving, or result. Such outputs are not professional, financial, legal, or investment advice, and you remain solely responsible for verifying them against your own data and for any decisions you make.

For the DVDAI and DIRAI services you will be asked, after purchase, to submit company and financial details to us by email at [email protected]. By submitting them you consent to our processing that information solely to prepare and deliver your diagnostic; you may redact or omit anything you consider too sensitive; and we will retain it only as long as needed to deliver your diagnostic and delete it afterwards. Email is not a fully secure channel, and you choose to use it at your own discretion. Our handling of personal data is described in our Privacy Policy.

7.No Warranties

To the maximum extent permitted by applicable law, SEAS, the Materials, the Site, and any Support are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement, and any warranties as to results, performance, EBITDA improvement, return on investment, or outcomes. We do not warrant that the Materials will be error-free, that they will meet your requirements, or that any particular result will be achieved.

8.Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Smart Agentic Systems (or its owners, personnel, or affiliates) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or relating to SEAS, the Materials, the Site, or any Support — whether based in contract, tort (including negligence), strict liability, or otherwise, and even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to SEAS, the Materials, or any Support will not exceed the total amount you actually paid to us for SEAS. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

9.Intellectual Property

SEAS and all related materials — including the SEAS, FLOAT, SPEED, and PathFinder Pro names and the text, models, spreadsheets, prompts, templates, software, designs, and other content — are owned by Smart Agentic Systems and are protected by copyright, trademark, and other intellectual-property laws. Except for the limited licence granted in Section 2, no rights are transferred to you. All rights not expressly granted are reserved.

10.Acceptable Use and Restrictions

You agree not to:

• copy, reproduce, distribute, resell, sublicense, lease, lend, or publicly share SEAS or the Materials except as expressly permitted;
• remove or alter any copyright, trademark, or proprietary notices;
• reverse engineer, decompile, or disassemble any software component, except to the extent such a restriction is prohibited by applicable law;
• use SEAS to develop or market a competing product; or
• use SEAS for any unlawful purpose.

We may suspend or terminate your licence if you breach these Terms.

11.Data and Communications

By purchasing or contacting us, you consent to receive communications relating to your purchase and any support requests. We process the limited personal data you choose to provide — such as your email address and any details you include in a support request or a diagnostic intake — solely to deliver your purchase, provide Support and diagnostics, and respond to your enquiries; we do not sell your personal data. Payment and billing information is collected and processed by our payment provider, Polar, under its own privacy terms. Other than information you choose to submit for the DVDAI or DIRAI diagnostic services (Section 6), you should not send confidential or regulated information by email. 12.Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates when they were last revised. Changes take effect when posted on the Site. Your continued use of SEAS after changes are posted constitutes acceptance of the revised Terms.

13.Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection rights you may have in your country of residence, the courts located in Jodhpur, Rajasthan, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, SEAS, or any Support.

14.General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them. These Terms, together with any policies referenced herein and the terms of our payment provider, constitute the entire agreement between you and Smart Agentic Systems regarding SEAS and supersede any prior understandings.
